This position can work remotely from a work-at-home office three days of the week in the Phoenix metro area.

PRIMARY PURPOSE:

Under minimal supervision, this position performs a variety of duties related to legal operations, including contract lifecycle management database administration, corporate filings and registrations, legal research, due diligence, preparing and responding to discovery requests and subpoenas, drafting agreements and form documents, and various other tasks as assigned for Vitalant and related business entities.

DUTIES AND RESPONSIBILITIES:

Performs all assigned duties in compliance with internal SOPs and external regulations. Brings compliance issues to the attention of management.

Assures quality customer service to all customers.

Maintains good attendance and punctuality per the absence policy.

Manages and oversees the electronic contract lifecycle management ("CLM") database, contract files, contract review and approval process and the enterprise contract repository.

Develops policies and procedures related to contract management and trains internal users on the CLM and the process for contract review and approval.

Develops process improvements for contract workflows and serves as a primary resource to others throughout the organization on matters related to contracts and the internal contracting process.

Accurately and timely enters all relevant critical deadlines other related data into the Legal Tracker matter management database or symplr CLM for operational, auditing, compliance, due diligence and other relevant purposes.

Responsible for preparing and submitting annual corporate filings, business registrations and trademark registrations, and proof of claims in bankruptcy and class action matters.

Prepares template agreements, form documents and other legal correspondence.

Assists in the management of litigation matters, including preparation of appropriate notices and discovery responses, leading document management, which includes identifying, tracking and extracting information from electronic (eDiscovery) and non- electronic data sources and working with all levels of staff to control and preserve information and documentation, and ensuring the maintenance of up-to-date and accurate litigation files and the development of a protocol for maintaining such files.

Processes, responds and objects to requests for interviews, subpoenas and notices of depositions or trial testimony and helping to standardize such processes throughout the institution.

Performs legal support services to the Legal Department as needed to achieve department objectives.

Performs legal and regulatory research and analysis, including preparation of legal documents and drafting and implementing standard operating procedures.

Assists as needed in conducting investigations and assists in resolution of legal, compliance and risk management matters.

Assists with due diligence and corporate filings associated with merger and acquisition activity.

Performs all other duties, at the discretion of management, as assigned.

REQUIREMENTS:

Knowledge/Education

Bachelor's degree or equivalent combination of education experience required.
Paralegal certification or higher level of certification/education required.

Licenses/ Certifications

Certificate of Paralegal Studies or higher level of certification/education required.

Experience

Three or more years' experience as a paralegal in a law firm, business corporate office, or hospital or equivalent required.
Experience with litigation, document management and legal research are essential as is knowledge of court documents and typing computer skills required.
Experience with health care issues preferred.
Experience in drafting and negotiating contracts and forms preferred.
Experience working in an in-house corporate environment preferred.
Experience with Symplir - or similar contract lifecycle management database or Legal Tracker matter management system preferred.

Skills/Abilities

Proficiency in Microsoft Word, Excel, PowerPoint, Outlook, and Access.
Excellent organizational and records management skills with attention to detail.
Good business judgment, sense of urgency, detail oriented, and a problem solver.
Excellent interpersonal and communication (oral and written) skills to effectively communicate at multiple levels inside and outside the organization.
Must have a strong customer service orientation, a commitment to teamwork, and a high level of personal integrity and self-motivation.
Ability to handle multiple assignments simultaneously with demonstrated ability to work independently, set priorities, multi-task and work under pressure to meet time deadlines.
Must possess the skills and abilities to successfully perform all assigned duties and responsibilities.
Must demonstrate effective oral and written communication skills, including communication in a clear, concise and practical manner.
Must have attention to detail with excellent editing and proof-reading skills.
Must possess the demeanor, maturity, skill, discretion and professionalism to work and interact effectively with diverse internal and external constituencies.
Good working knowledge of and familiarity with legal terminology, and general knowledge of health care-related terminology is desirable.
Must be able to organize, prioritize, and efficiently execute a variable workload and multiple competing priorities.
Ability to work independently and as a part of a team, adaptability, and positive attitude.
Must be able to maintain confidentiality.
